Article 1
In Fiuggi headquartered in the Street Prenestina n.101, near the places of the Parish Regina Pacis is constituted an Organization Non Gainful of denominated Social Utility “san damiano Or N L U S.”. Said denomination can also be used in acronym without punctual indication.

Article 2
1. The “san damiano o.n.l.u.s” apartitica is apolitical and has the purpose to return the ethical sense and the social and moral responsibility to the actual society, founding himself/herself/itself on the Declaration of the Rights of the man and on the consequent world humanitarian action, articulated in common with the beneficiaries and the international institutions to the purpose to serve the humanity, particularly acting for the economic development of the countries, improving the conditions of life of the populations, both in economic sense, and for the guardianship of the environment that entertains her and it nourishes her.
2. The “san damiano o.n.l.u.s.” it proposes particularly him to organize, to promote e/o to collaborate in partner-humanitarian initiatives to pick up funds to destine to the support of the “Clinic St. Damiano “of Ambanja, in Madagascar and of other missionary activities of the monks Italian cappuccini.

- The partners founders
- The ordinary partners
- The partners benemeriti.
3. They are partners founders those people who have undersigned the partnership agreement.
4. They are partners ordinary those people who pour the annual membership fee.
5. They are partners ordinary those people that pour the annual quota for the distance adoptions.
6. They are partners benemeriti those people that effect payments to the fund of endowment held of particular importance by the Board of Presidency.
7. The adhesion to the association is made indefinitely except as foreseen by the Statute to the article three, commi 2, 4, 5, 6.
8. Whoever sticks to the “san damiano o.n.l.u.s.” it is able, in any moment to notify his/her wish to recede from the group of the participants to the same association. Such recess will have effectiveness departed thirty days from the reception of the notification of the wish of recess.

Article 4
The organs preceded to the operation of the “san damiano o.n.l.u.s.” I am:
- Board of presidency
- The partners' general meeting
All the positions will free be developed.

Article 5
The preceded organs last reigning for a triennio and you/they can be revoked after deliberation assembleare.
All the positions are renewable for a maximum of two consecutive orders.

Article 6
Board of Presidency:
1. The Board of Presidency is formed from the President, Deputy president, from the Person responsible of the organization and development, from the administrative and financial Person responsible, from the Responsible formation and adoptions, from the sanitary Person responsible, from the technical Person responsible.
2. The Board of Presidency is summoned whenever by the President every makes him necessary for the normal operation or activity of the “san damiano o.n.l.u.s.”,
through personal notices, sent at least five days before the established date, specifying the place, the time and the agenda to treat.
3. The Board of Presidency has the following powers:
- every power of ordinary and extraordinary administration, saves the powers established by the present statute and from a possible rule of realization;

- to verify and d to approve the economic management of the association;
- to guarantee the respect of the statute and the deliberations he/she took from the meeting;
- to establish the unpaid membership fee of year in year

- in case of renouncement or impossibility of one of the members of the Board of Presidency to develop his/her own charge the remaining members you/they can name the substitute, that will last reigning up to the following elections
- in case of renouncement or impossibility than at least 4 members of the Board of Presidency you/he/she must be summons the general meeting of the partners within 30 days to entirely elect the new Board of Presidency
- every member of the Board of Presidency can equip him with an advisory èquipe

Article 7
Duties, assignments and powers of the components the Board of Presidency:
President:
- it legally represents her/it “san damiano o.n.l.u.s.”, in all the centers;
- he/she presides the general meeting of the partners and the Board of Presidency;
- he/she watches over on operates him some members of the Board of Presidency.
Vice-president:
- it replaces in the absences the president and the absentees of the Board of Presidency.
Responsible organization and development:
- it identifies a strategy of development it interns and external to middle and long term of the “san damiano o.n.l.u.s.”;
- it develops the relative programs and initiatives and it submits them to the Board of Presidency;
- care the relationships with the public corporations and privacies;
- it dispatches every necessary action to effect the approved programs;
- it maintains adjourned the list of the partners
- it manages the chancellery
- he/she compiles and it guards the oral dells general meeting of the partners and the Board of Presidency
- it receives it sorts and it transmits the whole correspondence of the “san damiano o.n.l.u.s.”
Responsible administrative and financial:
- it predisposes the budget of the proceeds and the costs
- it manages the general accounting and he/she compiles the budget
- it manages all the fiscal and administrative aspects
- it manages and it guards the whole legal and administrative documentation
- care the relationships with the banks
- it is registered holder, together with the President, of the bank accounts and of the property actions of the “san damiano o.n.l.u.s.”
- it handles the payment of the passivities
- it boxes the social quotas and every other provente of offers, donations and legacies
- it promotes applications for a loan according to laws vigenti
- he/she compiles periodic report on the property, financial and economic state for the Board of Presidency.
Responsible Formation and Adoptions: - it effects searches and studies and it develops programs of formation to middle and long term
- care the organization of the courses of formation to middle and long term
- care the organization of the courses of formation
- care the inside and external relationships for the distance adoptions
- it manages the register of the adoptions with the maximum transparency
Responsible sanitary: - it effects a monitorings sanitary of the clinic St. Damiano
- it promotes a sanitary program to brief and middle term
- it checks and it manages sanitary activity developed by her/it “san damiano o.n.l.u.s.”
Technical person responsible: - it promotes and it picks up proposals and advanced technical appeals from the clinic St. Damiano
- it defines projects, feasibility, costs, times and it submits them to the approval of the Board of Presidency
- care all the aspects technical-progettuali and if it foresees on the spot it directs the jobs, however it coordinates the jobs for the realization of the approved projects;
- previous technical-economic-functional evaluation releases the approval to the purchase of every technical equipment.

Article 8
The Partners' general meeting:
- the general meeting of the Partners gathers him at least once the year to verify and to discuss the course of the “san damiano o.n.l.u.s.”
- you/he/she is presided by the President or, in his/her absence, from the Vice-president and you/he/she is summoned mediate personal notices
- he/she elects every three years all the members of the Board of Presidency
- you/he/she can bring changes to the Statute and to approve rules of realization, proposes besides initiatives in observance of the Statute and the finalities of the “san damiano o.n.l.u.s.”

Article 9
1. The patrimony of the association is constituted from:
- Membership fees;
- Donations and offers of benefactors and public corporations or private;
- Possible results of initiatives it promoted from her/it “san damiano o.n.l.u.s.” to the clean one of the expenses.
2. The “san damiano o.n.l.u.s. ” it has besides faculty to advance applications of public corporations contribution private e/o.
3. Books of the association:
- Besides the estate of the books prescribed by the law, her “san damiano o.n.l.u.s.” it holds the books of the records of the assemblies and the deliberations of the general meeting of the partners, of the suggestion of presidency, as well as the book of the adherent ones to the association.
- The business books are:
- The authenticated day book, in which all the entrances and the exits are annotated chronologically.
- You makes obligation to release receipts for every type of versed offer for her “san damiano o.n.l.u.s.”

Article 10
The meeting of the partners deliberates on the budget of exercise of the preceding period within 120 days from the closing. The budget, compiled according to principles of truth and transparency, you/he/she will be deposited for allowing the taking vision of all the partners at least 20 days before the date fixed for the approval. Within 31 October of every year you/he/she will be submitted the budget of the activity to the approval to develop in the following exercise.

Article 11
1. The distribution of the profits, leftovers of management, funds, reserves or capital you/he/she is forbidden during the life of the organization, also in indirect way.
2. It is obligatory to tightly employ the profits or the leftovers of management for the realization of the institutional activities and those to them connected of which to the article three.
3. It is obligatory to devolve the patrimony of the “san damiano o.n.l.u.s. ”, in case of breakup, for whatever cause, to other non gainful organizations of social utility aventi sweeps analogous or similar or to thin of public utility.

Article 12
For everything how much not anticipated expressly from the present Statute is postponed to the normative vigente in subject.
